SERVICE AGREEMENT

THIS IS AN INDEPENDENT REPRESENTATIVE CONTRACTUAL SERVICE AGREEMENT

DEFINITIONS

The following constitutes an agreement between BETTER WAY SYSTEMS LLC, herein known as MANAGER and Meghan M. Biro, herein known as CLIENT. 

All vendors, suppliers of software and technologies, contractors, subcontractors and others are collectively known as CONTRACTORS.

The purpose of this service agreement is to provide Virtual Assistant project management and/or administrative related services, which may include software management, appointment scheduling, database management, email and messaging, and ongoing optimization and maintenance of all systems and processes and the like, herein known as SERVICE, to CLIENT for the purposes of effective business administrative management.

1. CLIENT shall provide MANAGER with the planning, budgeting, expediting, coordinating necessary for the timely execution of the Project by all CONTRACTORS.

2. CLIENT and MANAGER have discussed and agreed upon initial project specifications, the details of which are set forth in PROJECT SUMMARY, included with this document. Both parties understand and agree that should additional services be required in the future, a separate service agreement will be required, and this agreement will not be affected.

3. CLIENT and MANAGER have discussed and agreed to work together for a period of 12 months starting  from the first day of service. CLIENT understands that should CLIENT desire to terminate the obligation of the agreed upon terms, an early termination fee will apply at the rate of two full months of service. CLIENT understands that service will remain active and billing will continue automatically as scheduled until the early termination fee is received by MANAGER and all remaining paid time is used.

SERVICE AGREEMENT2

4. MANAGER shall take all reasonable steps on behalf of CLIENT to ensure the project shall be completed in a good and professional manner in accordance with the specifications and cost estimate, subject to any later changes, agreed upon by both parties.

5. The services to be provided by MANAGER for CLIENT are as set forth in this document, section Project Summary.

6. In performing the duties under this Agreement, MANAGER shall be the limited agent of CLIENT for the purpose of controlling interactions between MANAGER and PROSPECTS. Software and email accounts shall be in the name of CLIENT and may be logged-in by MANAGER on behalf of CLIENT and used to exchange dialogue with PROSPECTS, consistent with the agreement.

7. Nothing in this Agreement shall prevent or restrict MANAGER from acting as a CONTRACTOR for the purpose of performing work or service to the Project, provided such shall be fully disclosed to CLIENT.

8. CLIENT hereby indemnifies and holds harmless MANAGER from all debts, claims and liabilities incurred by MANAGER in the performance of the functions under the Agreement, provided that such functions are carried out by MANAGER within the scope of its authority.

9.  MANAGER'S fees are outlined within the PROPOSAL, included with this document.

10. New contracts are subject to a $500 training and set-up fee in addition to the standard fee structure but in this case, both parties acknowledge that such fee has been waived and is not applicable for the sake of this agreement.

11. CLIENT will provide all resources applicable to MANAGER'S duties and responsibilities as set forth within this agreement, which may include software, login credentials, training, authority to act on behalf of CLIENT, messaging and email templates, answers to relevant questions as they arise, and any other thing that MANAGER requires to fulfill the duties outlined within the scope of this project.

12. CLIENT recognizes and accepts that MANAGER does not always work alone and may delegate some project duties and tasks to MANAGER ASSISTANT whom MANAGER has a trusted working relationship with. In the event of such an occurrence, the entirety of this agreement is likewise applicable.
